ERP Workspace Terms and Conditions of Use (T&Cs)

1. Introduction and Acceptance

These Terms and Conditions of Use (hereinafter "T&Cs") govern your access to and use of the ERP Workspace software platform, published by Octal Group LLC. By accessing or using the ERP Workspace platform, you acknowledge that you have read, understood, and agree to be bound by these T&Cs in their entirety. If you do not agree to these terms, you must not use the service.

2. Access and Use

• Access Conditions: The service is available to natural persons of legal age or legal entities with the capacity to enter into binding agreements. Access requires the creation of a user account, for which you guarantee that all information provided is accurate, complete, and up-to-date.

• Authorized Use: The ERP Workspace service is intended for professional use in managing your company's internal operations. You agree to use the service in a lawful manner and for its intended purpose.

• Rules of Use: You are strictly prohibited from using the service for fraudulent purposes, hacking, distributing illegal content, spamming, or any malicious activity. Any attempt to compromise the integrity, security, or availability of the service will result in immediate action.

3. User Accounts

• Account Security: You are solely responsible for maintaining the confidentiality of your login credentials (username and password). You must take all necessary measures to prevent unauthorized use of your account. Any activity conducted under your account is presumed to have been performed by you.

• Suspension and Deletion: Octal Group LLC reserves the right, at its sole discretion, to suspend or delete your account in the event of non-compliance with these T&Cs or any abusive use of the service, without prior notice or compensation.

4. Services Provided

The ERP Workspace platform is a modular business management software that includes, but is not limited to, modules for human resources management, payroll, projects, sales, customer relations, and inventory. While Octal Group LLC makes every effort to ensure the service's proper functioning, we do not guarantee continuous and uninterrupted availability. The service may be temporarily unavailable due to maintenance, technical upgrades, or unforeseen events.

5. Intellectual Property

• Octal Group LLC's Property: All elements constituting the ERP Workspace platform (software, code, databases, interfaces, graphics, texts, icons, trademarks, etc.) are the exclusive property of Octal Group LLC or its licensors and are protected by national and international intellectual property laws.

• Restrictions: No part of the service or its content may be copied, reproduced, modified, distributed, or used in any way without the prior written consent of Octal Group LLC.

6. Payment and Subscriptions

Access to certain features of ERP Workspace is subject to a paid subscription. The billing terms, prices, renewal conditions, and termination are specified in your subscription agreement or on the service's registration page. Subscription fees are generally non-refundable, unless otherwise stated. Octal Group LLC reserves the right to change its prices after providing you with due notice.

7. Responsibilities and Warranties

• Limitation of Liability: Octal Group LLC cannot be held responsible for any data loss, financial damage, or direct or indirect harm resulting from improper use of the service, a technical failure, or the inability to use the platform. You are responsible for backing up your data.

• Limited Warranties: The service is provided "as is." Octal Group LLC gives no warranty, express or implied, regarding the service's suitability for a specific purpose, its performance, or its accuracy.

8. Privacy and Data Protection

The collection and processing of your personal data and your company's data are governed by our Privacy Policy. By using the service, you agree to the terms of that policy.

9. Termination

• By the User: You may terminate your account and end your subscription at any time, in accordance with the terms of your subscription agreement.

• By Octal Group LLC: We may terminate or suspend your account and access to the service at our discretion, particularly in the event of a violation of these T&Cs.

10. Modifications

Octal Group LLC reserves the right to modify these T&Cs at any time. We will notify you of any changes through a notification on the platform or via email. Your continued use of the service after such a modification constitutes your acceptance of the new T&Cs.

11. Governing Law and Jurisdiction

These T&Cs are governed by and construed in accordance with the laws of the Republic of Cameroon. Any dispute arising from the use of the platform will be submitted to the exclusive jurisdiction of the competent courts of Yaoundé, Cameroon.
